HK Company Registration

Ⅰ、Introduction of HK：
Hang Kong is located in the east peal river estuary of Chinese Mainland. In the verge of NanHai, south to Shenzhen river and about 140kilometers far from Guangdong province. The area of HK is about 1092 square kilometers, including HK Island、Kowloon、‘new territory’ and islands around. It named ‘fragrant river’ at ancient because of the main products----fragrant wood. It also named as Hang Kong beginning at Ming Dynasty for re-exporting fragrant wood from Dongguang. Hang Kong called “Pearl of the Orient”. The population of HK is over 6.6 million and the total area is 1070 square kilometers. HK is divided into four parts such as HK Island、New Territory、Kowloon and independent islands. The total value of HK visible trade(including re-export、domestic export and import) is HK$28.4 billion. Comparing with 987 HK$ billion in Chinese Mainland account for 35 percent. Financial industry、Real Estate、Tourism industry and fabricated products are four pillar industry of economic development in HK. There are ten products in HK, as follow: Garment、Electronic products、Textile、Watches、Presswork、Plastic products、Metalwork、Food、Machines and Jewelry.
Ⅱ、 Advantages of registering a HK company：
1．There is no trade restriction. You could deal in any legitimate business without applying for another license.
2．HK is the freest business harbor in the world, goods import and export freely without tariff, capital import and export freely and kinds of foreign currency could exchange at any time.
3．The policy and the tax rate of HK Company: There is little kind of tax and low tax rate in HK. HK Company only has two kinds of tax: one is one-off registered capital tax, the rate is 1/1000; another one is Capital Gains Tax, the rate is 16.5%; except for the special consumable(such as tobacco、alcohol etc.)

Ⅲ、The necessities of establish a Hong Kong company:：
1.  Name of company;
According to Hong Kong《Company Laws》, general regulation is:
1-1）       The company can use Chinese name 、Chinese name or Chinese and Chinese name，but Chinese and Chinese can not be mixed.
1-2）       he last word should be “Limited” in Chinese name ，Chinese name as well.

2.  Shareholders (at least one)
3.  Director (at lease one)
Shareholder and director can be natural person or limited company.
Natural person should be any nationalities. But must be over 18 years old.（Except the people who haven’t released from bankruptcy order and insane person）
Limited company has no areas restrictions
4. Legal secretary (must be Hong Kong company or Hong Kong people)
5. Registered address（Must be Hong Kong address）
Use to receive Government letters and notice, company unnecessary to lease a place, but should not use a mailbox.
6.  Registered capital（standard registered capital is HKD10，000）

Ⅳ、    Customers should provide the following materials：
1.    Name of company;
2.    Registered capital（standard registered capital is HKD10，000）
3.    Copy of ID of shareholders and directors;
4.    Share proportion of each shareholder;
5.    The address and contact number of shareholders and directors
Ⅴ、    The whole legal materials after registration：
According to "Hong Kong companies law," Article 32 ，the following materials are the legal materials after company registration :
1.   Certificate of Incorporation
2.   Business Registration Certificate（period of validity for one year, from the company set up, and year-on-year renewal）
3.   《Memorandum and Articles of Association》（18 books generally）
4.   Stamps（use for sign check or other documents）
5.   Steel seal
6.   Stock book
7.   statutory book（Green box），it includes:
a) minutes book（會議記錄簿）
b) register of members（股東登記冊）
c) register of transfer（股份轉讓登記冊）
d) register of directors（董事登記冊）
e) register of secretaries（公司秘書登記冊）
f) register of charges（抵押登記冊）
8.   Above-mentioned files will with a "precious hard-Box", commonly known as "Green Box"

Ⅵ、    Reference Materials:
1.   You can apply to open a branch, the name of branch allowed without “Limited” .And must apply the branch registration certificate to Tax Bureau(No Registration Certificate, and the branch registration certificate can not instead of Business Registration Certificate)
2.   Company Name registered does not mean that the name of protection does not mean that the name was not opposed to other people. If there is any claim of infringement of intellectual property rights, the company can not take that the name has been registered in the Companies Registry as a defense.
3.   If the name is similar to the names recorded in the chief, the chief will give a “name change” direction. If you don’t obey the order, company or the senior officers may be prosecuted, the highest punish is for HKD100,000 forfeit and immure 6 months，if still break a promise, would be punish HKD700 by the day.
4.   In some cases, other regulation have regulated some words in company’s name，use the words improper will make a crime，for example：
u  According to 《Banking ordinance》（Hong Kong Regulation NO.155 chapter），it’s illegal if use “Bank” in company’s name but haven’t agreed with Hong Kong Finance Management Bureau.
u  According to the "Securities and Futures Ordinance" (Chapter 571, Laws of Hong Kong), in addition to the regulations defined as "Exchange Company" ,no person shall use "Stock Exchange" or "Unified Exchange" or other variant for the company's name, violation of this provision would constitute a criminal offence.
u  In addition to the 《Professional Accountants Ordinance》 (Chapter 50, Laws of Hong Kong) regulated group, and other companies use such as "certified public accountant" or "public accountant" title, or the initials "CPA" or "PA", or [ certified public accountants], [auditor] or [auditor] word for the company name, also commits an offence.
